Adam trained at elite firms. He battled Big Tech at Susman Godfrey, America's top-ranked trial firm, and worked on bet-the-company cases on behalf of creditors and shareholder activists at Akin Gump.
Adam began his career by serving as a judicial clerk for Judge Carolyn Dineen King on the United States Court of Appeals for the Fifth Circuit.
He received his law degree from Yale Law School.
Adam is an active member of the State Bars of Texas and New York. He is an inactive member of the Missouri Bar.
Bankruptcy and Restructuring
- Represented the ad hoc committee of first lien creditors of Avaya Inc., in a bankruptcy filing and plan of proposed reorganization involving approximately $6 billion in debt.
- Tried high-profile enterprise valuation case on behalf of the Unsecured Creditors’ Committee of Cumulus Media in connection with its objection to confirmation of a proposed plan of reorganization.
- Represented the official committee of unsecured creditors in Sears Holdings Corporation, et al., chapter 11 cases involving $5.6 billion in liabilities, in connection with an investigation and prosecution of fraudulent transfer and other claims.
- Represented defrauded venture investors in out-of-court restructuring of former unicorn healthcare tech startup and in disputes against founders.
Shareholder Activism
- Represented a group of activist investors in enjoining a highly dilutive and value-destructive merger of a public company with a company controlled by an interested insider.
- Represented activist investors in stockholder inspections pursuant to the Delaware General Corporation Law (DGCL) and related stockholder demands on corporate boards.
- Represented activist investor in proxy contest and related federal action involving a BDC Board's circumvention of stockholder consent, corporate governance standards, and fiduciary duties in connection with a self-interested proposed merger between affiliated companies.
- Represented activist investor in proxy contest and dispute resolution against diversified REIT that suffered from decades of underperformance, culminating in board reconstitution.
Special Situations
- Represented large distressed investment adviser in the liquidation and secondary sale of litigation assets to a third party investor.
Patent Infringement
- Represented multinational telecommunications company in patent infringement action against publicly traded competitor.
- Represented and obtained favorable settlements for owner of patent portfolio in nationwide patent infringement actions against various public technology companies, including Apple, Microsoft, Google, and Facebook.
Copyright Infringement
- Represented owner of copyrighted screenplay against publicly traded distribution company in cutting-edge infringement action.
Trade Secret Misappropriation
- Represented corporate owner of trade secrets in misappropriation action against competitor. Obtained favorable confidential settlement.
Insurance Coverage
- Represented real estate investors in coverage disputes relating to natural disasters, obtaining favorable settlements equal to or in excess of initially claimed losses, and recovery of fees.
- Represented the largest independent brine producer in the United States and its affiliates in state and federal lawsuits relating to insurance coverage for alleged sinkhole-related losses.
White Collar & Regulatory Defense
- Represented on a confidential basis hedge fund traders, analysts, and portfolio managers in formal and informal SEC investigations and enforcement actions concerning alleged market manipulation and insider trading violations.
- Have successfully resolved state insurance commission investigations and complaints alleged against insurance companies without formal enforcement actions or penalties and while maintaining confidentiality.
